ThreadChain Terms of Service

1. What ThreadChain Is

ThreadChain is a software platform that:

• Generates design documentation (including technical drawings, tech packs, BOMs and POMs)
• Provides AI-assisted design tools
• Facilitates introductions between fashion brands and independent manufacturers

ThreadChain is not a manufacturer, production house, pattern maker, or quality-control provider. All manufacturing contracts are solely between users and manufacturers.

2. User Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials.

3. Ownership of Designs & User Content

3.1 You own your designs

You retain all rights, title, and interest in:

• Any designs, sketches, images, text, or files you upload to ThreadChain ("User Content")
• All intellectual property embodied in those designs

ThreadChain does not claim ownership of your designs.

3.2 Licence to ThreadChain

By uploading User Content, you grant ThreadChain a worldwide, non-exclusive, royalty-free licence to:

• Store
• Process
• Reproduce
• Modify
• Transform
• Create derivative works from

your User Content solely for the purpose of providing the Services, including generating technical documents and sharing limited information with manufacturers at your request.

4. Ownership of the Platform & Outputs

ThreadChain Ltd owns all rights in:

• The ThreadChain platform
• The software
• The AI systems
• The prompt logic
• The workflows
• The document templates
• The formatting and structure of all generated outputs

You own your original designs. ThreadChain owns the system that transforms them into technical documents.

This means:

• You may use the generated tech packs and files for your business
• You may not use ThreadChain's outputs, formats, or workflows to create or operate a competing platform

5. Prohibited Uses

You may not:

• Scrape, crawl, or extract data from ThreadChain
• Reverse engineer the platform, AI models, or workflows
• Copy or replicate the platform's functionality
• Repackage ThreadChain outputs into another software product
• Train AI models using ThreadChain outputs
• Use ThreadChain to operate or power a competing service

Any such use is a material breach of these Terms.

6. AI Output Disclaimer

All designs, measurements, drawings, and documents generated by ThreadChain are provided "as-is" for design and planning purposes only.

ThreadChain does not guarantee:

• Measurement accuracy
• Pattern correctness
• Fit
• Manufacturability
• Colour accuracy
• Fabric performance

Users are responsible for reviewing, validating, and approving all documents before production.

7. Manufacturers

ThreadChain may introduce you to independent manufacturers. ThreadChain:

• Is not a party to any manufacturing contract
• Does not supervise or control production
• Does not guarantee quality, timelines, or pricing

Any disputes regarding manufacturing must be resolved directly between you and the manufacturer.

8. Payments

Payments are processed by third-party providers (such as Stripe). Prices are displayed at the time of checkout and may change. Unless otherwise stated, all payments are non-refundable.

9. Limitation of Liability

To the maximum extent permitted by law, ThreadChain shall not be liable for:

• Production errors
• Financial losses
• Lost profits
• Manufacturing defects
• Supplier failures
• Incorrect designs or specifications

ThreadChain's total liability shall not exceed the amount paid by you to ThreadChain in the 12 months prior to the claim.

10. Termination

We may suspend or terminate your account if you violate these Terms. You may close your account at any time.

11. Governing Law

These Terms are governed by the laws of England and Wales.
